1. Entity & Agreement to Terms

This website (orangepaper.us) is operated by Excel Mehta USA INC, doing business as Orange Paper ("Company", "Orange Paper", "we", "us", or "our"). Excel Mehta USA INC is a Delaware corporation registered to conduct business in the State of New Jersey, with principal executive and commercial operations located at 221 River St, 9th Floor, Office 9066, Hoboken, NJ 07030, USA.

By visiting, browsing, registering an account, requesting a wholesale quotation, or purchasing products on orangepaper.us, you ("Buyer", "Customer", or "User") agree to be bound by these Terms and Conditions ("Terms"). If you disagree with any part of these Terms, you must discontinue use of the site immediately.

2. Business Model & Channel Separation

Orange Paper manufactures and distributes commercial stationery, paper goods, and legal pads. Our sales channels operate under distinct structures:

Direct Website Sales (Wholesale & Case Packs): Direct orders executed through orangepaper.us are commercial B2B/bulk transactions packaged in full master cartons (e.g., 72-pack master cases, carton-quantity composition books). These orders are billed, processed, and fulfilled directly by Excel Mehta USA INC.
External Retail Purchases (Amazon Storefront): Individual consumer bundles, multi-packs (such as 2-packs, 4-packs, and 6-packs), and retail offerings redirected to Amazon (amazon.com) are executed and fulfilled through the Amazon marketplace. Any purchase completed on Amazon is governed by Amazon's Conditions of Use, payment processing, shipping schedules, and return/replacement policies. Excel Mehta USA INC does not directly handle payment details or consumer parcel fulfillment for Amazon-routed transactions.
Catalog & Out-of-Stock Inquiries: Products marked as "Catalog Only", "Out of Stock", or "Request a Quote" represent commercial manufacturing specifications. Submitting an inquiry does not constitute a confirmed purchase order until a written sales confirmation and invoice are issued by Excel Mehta USA INC.

3. Pricing, Billing & Taxes

Currency & Adjustments: All prices displayed on orangepaper.us are stated in United States Dollars (USD). We reserve the right to revise pricing, minimum order quantities (MOQs), and product specifications without prior notice.
Order Acceptance & Errors: The transmission of an order confirmation email does not signify our final acceptance of your order. Excel Mehta USA INC reserves the right to decline, adjust, or cancel orders containing typographical pricing errors, erroneous freight calculations, or unforeseen inventory stockouts. In such events, any charged amounts will be fully refunded to the original payment method.
Taxes & Resale Certificates: Sales tax is assessed based on state and local jurisdictional requirements. Qualified commercial distributors, educational institutions, or tax-exempt buyers must submit a valid State Resale Certificate or Tax Exemption Certificate prior to dispatch to qualify for tax exemption.

4. Commercial Shipping, Freight & Delivery

Carriers & Transit: Wholesale master cartons and pallet shipments are dispatched via commercial parcel carriers (e.g., UPS Ground, FedEx Ground) or commercial Less-Than-Truckload (LTL) freight carriers.
Delivery Destination Requirements: The Buyer is responsible for providing a valid, accessible commercial or delivery address capable of receiving parcel freight. Accessorial delivery requirements (including liftgate service, delivery appointments, limited access fees, or redelivery attempts) resulting from incorrect recipient details will be billed to the Buyer.
Risk of Loss: All direct commercial shipments are sold FOB Origin / Carrier Dispatch unless otherwise agreed upon in writing. Risk of loss and title pass to the Buyer upon transfer of the goods to the shipping carrier.

5. Inspection, Freight Damage & Shortage Claims

Paper cartons carry substantial weight and density. The Buyer must inspect all delivered packages immediately upon delivery:

External Damage: Any visible carton punctures, crush damage, water exposure, or missing cases must be noted directly on the delivery receipt or bill of lading (BOL) presented by the carrier.
Claim Window: All claims regarding missing units, concealed transit damage, or carton count discrepancies must be emailed to [email protected] within 5 business days of carrier delivery.
Documentation Required: Claims must include the original Order Number, packing slip, tracking details, and clear photographic documentation of the outer shipping cartons, carrier labels, and damaged inner contents. Claims submitted past the 5-day window cannot be processed for freight carrier reimbursement.

6. Wholesale Returns & Restocking Policy

Return Authorization: No returns are accepted without prior written Return Merchandise Authorization (RMA) issued by Excel Mehta USA INC. Unauthorized return shipments will be refused.
Condition of Goods: Returns are accepted only on unopened, full master cartons in pristine, factory-sealed condition within 30 days of delivery. Partial packs, individually marked items, or damaged outer cartons are non-refundable.
Freight & Restocking Fees: Unless a return is necessitated by a documented fulfillment error or certified manufacturing defect, the Customer is responsible for all round-trip freight expenses. A standard 15% restocking fee may be deducted from the credit to cover warehouse handling and inspection.

7. Intellectual Property

All brand names, proprietary trade dress, logos, product graphics, package designs, product descriptions, photography, and digital assets associated with Orange Paper are the exclusive intellectual property of Excel Mehta USA INC. Unauthorized reproduction, scraping, modification, or commercial re-distribution of website assets without prior express written consent is strictly prohibited.

8. Limitation of Liability & Warranty Disclaimer

orangepaper.us and all goods sold herein are provided on an "as-is" and "as-available" basis, without warranties of any kind, whether express or implied, including but not limited to implied warranties of merchantability or fitness for a particular purpose.
To the fullest extent permitted by applicable law, in no event shall Excel Mehta USA INC, its officers, directors, employees, affiliates, or agents be liable for any indirect, punitive, incidental, special, or consequential damages, including loss of profits, commercial interruption, or data loss, arising from or related to the use of this website or the purchase and handling of our products.
Excel Mehta USA INC’s total aggregate liability arising out of any order shall not exceed the total purchase price actually paid by the Customer for the specific product lot giving rise to the claim.

9. Governing Law & Dispute Resolution

These Terms and Conditions shall be governed by, construed, and enforced in accordance with the laws of the State of New Jersey (for commercial fulfillment and direct transaction disputes) and the corporate governance laws of the State of Delaware, without regard to conflict of law principles. Any legal action, dispute, or claim arising out of or relating to commercial transactions on orangepaper.us shall be instituted exclusively in the state or federal courts located in Hudson County, New Jersey, and each party irrevocably submits to the personal jurisdiction of such courts.
